1. Acceptance of Commercial Terms

By accessing broadlocal.com, submitting an inquiry, or reviewing diagnostic audits provided by BroadLocal LLC ("BroadLocal," "we," or "us"), you represent that you have legal capacity to bind your business organization and agree to be governed by these Terms of Service.

2. Advisory & Infrastructure Scope

BroadLocal provides technical consulting, diagnostic evaluations of inbound communication systems, lead-triage bridges, and operational integration services. All client implementations are governed by discrete written engagement agreements, statements of work (SOW), or deployment briefs detailing flat-fee deliverables and verified milestones.

Nothing on this site or in an initial intake review constitutes a binding commitment to engage until an authorized engagement specification is countersigned and initial settlement rails are funded.

3. Zero Speculative Financial Guarantees

BroadLocal audits observable technical leakage points (e.g., missed phone calls, unformatted quote forms, disconnected Google booking action URLs) and deploys technical routing repairs. BroadLocal does not provide speculative investment, securities, legal, or unverified revenue guarantees. Actual commercial cash flow depends directly on the client's localized fulfillment, technician responsiveness, pricing model, and trade execution.

4. Intellectual Property & Brand Assets

The trademarks BroadLocal™, Business Growth Infrastructure™, along with all proprietary diagrams, visual insignia[cite: 1], copywriting, and architectural designs on this domain are the exclusive intellectual property of BroadLocal LLC. Unauthorized copying, mirroring, or programmatic scraping for commercial resale is strictly prohibited.

5. Limitation of Liability

To the fullest extent permitted under applicable law, BroadLocal LLC and its principals shall not be liable for any indirect, punitive, special, or consequential damages resulting from third-party software updates (e.g., changes to Google Business Profile APIs, cellular carrier SMS spam filters, or web host outages). Our maximum aggregate liability arising from any initial diagnostic review shall not exceed the amount actually paid by you for that specific review.

6. Governing Law & Jurisdiction

These Terms and any dispute arising from commercial engagement with BroadLocal LLC shall be construed and enforced strictly in accordance with the laws of the State of New York, without regard to conflict of law principles. Any legal proceeding shall be initiated exclusively in the state or federal courts located within the State of New York.
